1. Agreement to Terms

These Terms of Service ("Terms", "Terms of Service", or "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and NZBlockchain ("Company", "we", "us", or "our") governing your access to and use of the NZBlockchain Learning Management System, including our website at nzblockchain.nz and all related services, features, content, and applications (collectively, the "Platform" or "Service").

1.2 Acceptance of Terms

By accessing, browsing, registering for, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Disclaimer, all of which are incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform.

1.3 Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes will become effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. 2. Eligibility and User Accounts

2.1 Age Requirements

You must be at least 18 years of age to create an account and use the Platform. If you are between 13 and 17 years of age, you may only use the Platform under the supervision and with the express consent of a parent or legal guardian who agrees to be bound by these Terms. Users under 13 years of age are not permitted to use the Platform under any circumstances.

  • You are not prohibited from using the Platform under the laws of New Zealand or any other applicable jurisdiction

  • You are not located in a country subject to a New Zealand or international embargo or designated as a "terrorist supporting" country

  • You are not listed on any New Zealand or international list of prohibited or restricted parties

2.3 Account Registration

To access certain features and services, you must create an account by providing accurate, current, and complete information as prompted during the registration process. You agree to:

  • Provide true, accurate, current, and complete information about yourself

  • Maintain and promptly update your account information to keep it accurate and current

  • Maintain the security and confidentiality of your login credentials

  • Immediately notify us of any unauthorized use of your account or security breach

  • Accept responsibility for all activities that occur under your account

  • Not create multiple accounts or impersonate any person or entity

2.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your username, password, or account access with any third party. NZBlockchain is not liable for any loss or damage arising from your failure to maintain account security.

2.5 Account Suspension and Termination

We reserve the right to suspend, disable, or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or for any other reason at our sole discretion. Upon termination, your right to access and use the Platform will immediately cease.

 

3. Educational Services

3.1 Nature of Services

NZBlockchain provides online educational courses, learning materials, videos, articles, interactive modules, assessments, and related content focused on blockchain technology, cryptocurrency, and digital assets (collectively, "Educational Content"). All Educational Content is provided strictly for educational and informational purposes only.

3.2 No Professional Advice

IMPORTANT: The Platform does not provide financial advice, investment recommendations, trading tips, legal counsel, tax guidance, or any form of professional consultation. All Educational Content is for learning purposes only. Users must not rely on Platform content as a substitute for professional advice from qualified financial advisors, legal counsel, tax professionals, or other experts.

 3.3 Course Access and Enrollment

Upon successful enrollment in a course:

  • You will receive access to course materials for the duration specified at the time of purchase

  • Access periods vary by course and subscription type

  • You are responsible for completing courses within the designated access period

  • Course materials are for your personal, non-commercial use only

3.4 Course Modifications

We reserve the right to:

  • Modify, update, or discontinue any course or Educational Content at any time

  • Remove or replace course materials as necessary

  • Are proof of course completion through the NZBlockchain Platform

  • Do not represent professional certification, accreditation, or licensing

  • Do not qualify you to provide financial, investment, or legal advice

  • Are for personal educational records and may be shared at your discretion

  • May be verified by third parties through our verification system

 

4. Payment Terms

 4.1 Pricing and Fees

All course prices, subscription fees, and other charges are displayed in New Zealand Dollars (NZD) unless otherwise specified. Prices are subject to change at any time, but changes will not affect purchases already completed.

 4.2 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you authorize us to charge the specified amount to your designated payment method. You represent and warrant that:

  • You have the legal right to use the payment method provided

  • Payment information is accurate, current, and complete

  • You will maintain sufficient funds or credit to complete transactions

4.3 Subscription Services

If you purchase a subscription-based service:

  • Your subscription will automatically renew at the end of each billing cycle unless cancelled

  • You authorize recurring charges to your payment method

  • Renewal rates may be adjusted with advance notice

  • You may cancel your subscription at any time through your account settings

  • Cancellation will be effective at the end of the current billing period

4.4 Refund Policy

5. Intellectual Property Rights

5.1 Platform Ownership

The Platform, including all Educational Content, features, functionality, software, text, graphics, logos, images, videos, audio, designs, user interfaces, trademarks, service marks, and all intellectual property rights therein, are owned by or licensed to NZBlockchain and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of New Zealand and international conventions.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Platform for personal, non-commercial educational purposes

  • View, download, and print Educational Content solely for personal learning

  • Participate in courses and access materials as authorized by your enrollment

5.3 Restrictions on Use

You may not:

  • Copy, reproduce, distribute, republish, download, display, post, or transmit Educational Content in any form except as expressly permitted

  • Modify, create derivative works from, reverse engineer, decompile, or disassemble any Platform component

5.4 User-Generated Content

If you submit, post, or upload any content to the Platform (including comments, reviews, forum posts, or submissions), you grant NZBlockchain a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute such content in connection with operating and promoting the Platform.

You represent and warrant that:

  • You own or have the necessary rights to submit the content

  • Your content does not infringe upon any third-party intellectual property rights

  • Your content does not violate these Terms or applicable laws

5.5 Trademarks

"NZBlockchain" and associated logos are trademarks or registered trademarks of NZBlockchain. Other trademarks appearing on the Platform are the property of their respective owners. You may not use any trademarks without prior written permission from the trademark owner.

 

6. User Conduct and Prohibited Activities

6.1 Acceptable Use

You agree to use the Platform in accordance with these Terms and all applicable laws and regulations. You will conduct yourself professionally and respectfully in all interactions on the Platform.

6.2 Prohibited Conduct

You may not:

  • Violate any applicable laws, regulations, or third-party rights

  • Engage in fraudulent, deceptive, or misleading conduct

  • Impersonate any person or entity or misrepresent your affiliation

  • Harass, threaten, intimidate, or abuse other users

  • Post or transmit harmful, offensive, defamatory, obscene, or illegal content

  • Distribute viruses, malware, or other malicious code

  • Attempt to gain unauthorized access to Platform systems or other user accounts

  • Interfere with or disrupt the Platform's operation or security

  • Use the Platform to promote competing services or commercial activities

  • Collect or harvest personal information of other users

  • Engage in any activity that could damage NZBlockchain's reputation

  • Use the Platform for illegal cryptocurrency transactions, money laundering, or terrorist financing

  • Manipulate or artificially inflate course ratings or reviews

  • Share or distribute course materials in violation of intellectual property rights

6.3 Enforcement and Consequences

Violation of these conduct provisions may result in:

  • Warning notices

  • Temporary suspension of account access

  • Permanent termination of your account

  • Removal of user-generated content

  • Legal action and reporting to law enforcement authorities

  • Liability for damages caused by your conduct

 

7. Privacy and Data Protection

7.1 Privacy Policy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

TO THE FULLEST EXTENT PERMITTED BY LAW, NZBLOCKCHAIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

  • Warranties that the Platform will be uninterrupted, timely, secure, or error-free

  • Warranties regarding the accuracy, reliability, completeness, or quality of Educational Content

  • Warranties that defects will be corrected or that the Platform is free from viruses or harmful components

  • Warranties regarding outcomes, results, or employment opportunities from using Educational Content

9.3 No Guarantee of Results

We do not guarantee that using the Platform or completing courses will result in:

  • Financial success or profitability

  • Employment or career advancement

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NZBLOCKCHAIN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages

  • Loss of profits, revenue, data, goodwill, or business opportunities

  • Financial losses from cryptocurrency investments or trading activities

  • Damages resulting from unauthorized access to or alteration of your data or transmissions

  • Damages from errors, omissions, interruptions, defects, delays, or viruses

  • Damages from reliance on Educational Content or Platform information

  • Damages from third-party conduct or Third-Party Services

  • Any other damages arising from Platform use, regardless of the legal theory

WHETHER OR NOT NZBLOCKCHAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Maximum Liability Cap

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, NZBLOCKCHAIN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • The total amount paid by you to NZBlockchain in the 12 months preceding the claim, or

  • NZD $100

10.3 Essential Purpose

You acknowledge and agree that these limitations of liability are fundamental elements of the agreement between you and NZBlockchain, and that the Platform would not be provided to you without these limitations.

10.4 Jurisdictional Variations

Some jurisdictions do not allow limitation of liability for incidental or consequential damages. In such jurisdictions, the limitations above may not apply fully, and you may have additional rights.

 

11. Indemnification

11.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless NZBlockchain, its officers, directors, employees, agents, affiliates, partners, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform and Educational Content

  • Your violation of these Terms

  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights

  • Your violation of any applicable laws or regulations

  • Any content you submit, post, or transmit through the Platform

  • Your negligence or willful misconduct

  • Any cryptocurrency transactions or investments you undertake based on knowledge gained from the Platform

11.2 Defense and Settlement

NZBlockchain reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with NZBlockchain in asserting any available defenses. You may not settle any claim without NZBlockchain's prior written consent.

 

12. Term and Termination

12.1 Term

These Terms commence when you first access or use the Platform and continue until terminated in accordance with this section.

12.2 Termination by You

You may terminate your account at any time by:

  • Contacting customer support with a termination request

  • Following account deletion procedures in your account settings

  • Ceasing all use of the Platform

Termination does not entitle you to any refunds for unused portions of paid services.

12.3 Termination by NZBlockchain

We may suspend or terminate your account and access to the Platform immediately, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms

  • Fraudulent, illegal, or abusive conduct

  • Non-payment of fees

  • Extended periods of inactivity

  • Discontinuation of the Platform or specific services

  • Legal or regulatory requirements

  • Protection of NZBlockchain's interests or other users

12.4 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Platform immediately ceases

  • You must cease all use of Educational Content

  • We may delete your account data and content

  • Provisions of these Terms that by their nature should survive will remain in effect (including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution)

  • You remain liable for all obligations incurred prior to termination

12.5 No Liability for Termination

NZBlockchain shall not be liable to you or any third party for any termination, suspension, or discontinuation of your access to the Platform.

 

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at nzblockchain.nz to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes amicably.

13.2 Governing Law

These Terms and any disputes arising from or relating to the Platform shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.

13.3 Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that any legal action or proceeding relating to these Terms or the Platform shall be brought exclusively in the courts located in New Zealand. You consent to the personal jurisdiction of such courts and waive any objection to venue.

13.4 Arbitration Agreement (Optional)

For disputes that cannot be resolved informally, either party may elect to submit the dispute to binding arbitration in accordance with the Arbitration Act 1996 (New Zealand). Arbitration will be conducted in English, in New Zealand, by a single arbitrator agreed upon by the parties or appointed in accordance with applicable rules.

13.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE TO BRING CLAIMS AGAINST NZBLOCKCHAIN ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING.

13.6 Limitation Period

Any claim or cause of action arising from or relating to the Platform or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

 

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and NZBlockchain regarding the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

14.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. NZBlockchain's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without NZBlockchain's prior written consent. NZBlockchain may freely assign or transfer these Terms. Any attempted assignment in violation of this provision is void.

14.5 Force Majeure

NZBlockchain shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet or telecommunications failures, cyberattacks, or public health emergencies.

14.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and NZBlockchain are parties to these Terms.

14.7 Relationship of Parties

No agency, partnership, joint venture, or employment relationship is created between you and NZBlockchain as a result of these Terms or your use of the Platform. You have no authority to bind NZBlockchain in any manner.

14.8 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict between the English version and a translated version, the English version shall prevail.

14.9 Electronic Communications

By using the Platform, you consent to receive electronic communications from NZBlockchain, including notices, agreements, and disclosures. You agree that such electronic communications satisfy any legal requirement that communications be in writing.

14.10 Headings

Section and subsection headings are for convenience only and shall not affect the interpretation of these Terms.

 

15. Specific Terms for Blockchain and Cryptocurrency Education

 15.1 High-Risk Subject Matter

You acknowledge that blockchain technology and cryptocurrency are:

  • Highly volatile and speculative asset classes

  • Subject to significant financial risk, including total loss of investment

  • Rapidly evolving with uncertain regulatory landscapes

  • Complex technologies requiring substantial technical understanding

  • Subject to cybersecurity risks, fraud, and market manipulation

15.2 Educational Purpose Only

All Educational Content relating to cryptocurrency and blockchain technology is provided strictly for educational purposes. NZBlockchain does not:

  • Recommend specific cryptocurrencies, tokens, or blockchain projects for investment

  • Provide financial, investment, or trading advice

  • Guarantee financial returns or investment success

  • Endorse any particular cryptocurrency exchange, wallet, or service provider

  • Provide legal, tax, or regulatory compliance advice

15.3 Independent Decision-Making

You acknowledge that:

  • Any decisions to invest in, trade, or transact with cryptocurrencies are your sole responsibility

16.3 Export Controls

You may not use or export Educational Content in violation of New Zealand export laws and regulations or any other applicable export control laws.

If you provide feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you grant NZBlockchain a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution to you.

17.2 No Obligation

NZBlockchain has no obligation to use, implement, or respond to Feedback. We may independently develop similar features or improvements without liability to you.

  • These Terms constitute a legally binding agreement between you and NZBlockchain

  • The Platform is for educational purposes only and does not provide financial, investment, or legal advice

  • Cryptocurrency and blockchain technology involve high risks, including potential total loss

  • You are solely responsible for your investment decisions and regulatory compliance

  • NZBlockchain's liability is limited as described in these Terms
